1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of the services provided by Globaxift IT Pvt. Ltd. (“Company”, “we”, “our”, or “us”), including but not limited to data mining, data processing, IT solutions, backend customer support, helpdesk support, workflow optimization, business intelligence, and documentation services.

By engaging our services or using this website, you (“Client”, “you”, or “your”) agree to be bound by these Terms. If you do not agree, you must refrain from using our services.

2. Scope of Services

Globaxift IT Pvt. Ltd. provides professional outsourcing services, which include:

  • Data Mining and Data Processing

  • IT Solutions and Backend Customer Support

  • Customer and Helpdesk Support

  • Workflow Optimization

  • Business Intelligence

  • Documentation Services

The detailed scope, deliverables, timelines, and commercial terms will be specified in the Service Agreement, Work Order, or Statement of Work executed between the Company and the Client.

3. Client Obligations

  • Clients shall provide accurate, lawful, and complete data/materials required for service execution.

  • Clients are responsible for maintaining independent data backups. The Company shall not be liable for any data loss resulting from the Client’s failure to maintain backups.

  • Clients shall not provide data or materials that infringe intellectual property rights, privacy rights, or violate applicable laws.

4. Confidentiality and Data Protection

  • The Company shall treat all Client data and information as strictly confidential.

  • No Client information shall be disclosed to third parties without prior written consent, except where required by law.

  • The Company adheres to applicable Indian data protection laws and relevant international standards, where applicable.

5. Fees and Payments

  • Costs and fees shall be determined by the mutually agreed contract or Service Agreement.

  • All invoices must be settled within the payment period stated in the agreement.

  • Delayed payments may attract interest at the rate permissible under Indian law until cleared.

  • The Company reserves the right to suspend or withhold service delivery in cases of non-payment.

6. Intellectual Property Rights

  • All data, content, and materials provided by the Client remain the Client’s sole property.

  • Any reports, work products, or deliverables created by the Company for the Client shall become the Client’s property upon full payment.

  • Unless expressly agreed otherwise, the Company does not claim ownership over Client-provided data or deliverables.

7. Limitation of Liability

  • The Company shall exercise reasonable skill and care in delivering services but does not guarantee error-free or uninterrupted operations.

  • The Company’s liability for any claim shall be strictly limited to the total fees paid by the Client for the service giving rise to the claim.

  • The Company shall not be liable for indirect, incidental, or consequential damages, including but not limited to loss of profits, revenue, or data.

8. Indemnity

The Client agrees to indemnify and hold harmless Globaxift IT Pvt. Ltd., including its directors, employees, and affiliates, from any third-party claims, damages, or liabilities arising out of:

  • the Client’s use of services;

  • data or content provided by the Client;

  • the Client’s breach of these Terms or applicable laws.

9. Termination of Services

  • Either party may terminate the engagement by providing written notice in accordance with the governing agreement.

  • Upon termination, the Client must immediately clear all outstanding payments.

  • Provisions regarding confidentiality, intellectual property, and limitation of liability shall survive termination.

10. Service Availability

The Company endeavors to provide continuous and reliable services; however, uninterrupted availability cannot be guaranteed. Temporary interruptions due to technical or operational issues may occur.

11. Amendments

The Company reserves the right to update, revise, or amend these Terms at any time. Substantial modifications will be communicated via email, a contractual addendum, or updates on the Company’s official website.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall fall under the exclusive jurisdiction of the competent courts in Gurugram, Haryana, India.
